1) License
Subject to your compliance with this EULA and any applicable order or subscription, Fleet grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the App solely for your internal business purposes, in accordance with our documentation.
2) Account & Eligibility
You must be of legal age to enter into this EULA and authorized to act on behalf of your organization, where applicable. You are responsible for safeguarding your credentials and any activity under your account.
3) Permitted & Prohibited Use
- Do not reverse engineer, decompile, or attempt to derive the source code except to the extent such restriction is prohibited by law.
- Do not copy, modify, distribute, or create derivative works of the App except as expressly permitted.
- Do not interfere with or disrupt the App, or use it for unlawful, harmful, or high-risk activities (e.g., unsafe vehicle operation).
- Respect privacy and obtain all required consents for tracking (e.g., drivers, vehicles, devices) and processing personal data.
4) Location, Telematics & Device Data
The App may collect geolocation, telemetry, and device data to provide routing, dispatch, proof-of-delivery, and related features. You represent that you have a lawful basis to collect such data and will provide notices and obtain consents required under applicable laws in the regions where you operate.
5) Updates & Changes
The App may automatically install updates. Certain features may require Internet access and compatible devices. We may modify or discontinue features with reasonable notice where practicable.
6) Subscription & Enterprise Use
Use may be subject to subscription terms or a separate agreement with Fleet. If there is a conflict between this EULA and an executed agreement, the executed agreement controls.
7) Third-Party Services & Open Source
The App may interoperate with third-party services. Your use of those services is governed by their terms. Open-source components are licensed under their own licenses; copies of such licenses are provided on request.
8) Intellectual Property
Fleet and its licensors own all right, title, and interest in and to the App and related materials. No rights are granted except as expressly stated in this EULA.
9) Warranties & Disclaimers
To the maximum extent permitted by law, the App is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for safe and lawful use (including while operating vehicles).
10) Limitation of Liability
To the maximum extent permitted by law, Fleet and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or business interruption. Our aggregate liability under this EULA will not exceed the fees you paid for the App in the twelve (12) months preceding the claim.
11) Indemnity
You will defend, indemnify, and hold harmless Fleet from and against claims arising out of your unlawful or unauthorized use of the App, your breach of this EULA, or your violation of applicable law.
12) Term & Termination
This EULA remains in effect until terminated. We may suspend or terminate access if you materially breach this EULA. Upon termination, you must stop using and uninstall the App.
13) Export & Sanctions Compliance
You will not use or export the App in violation of applicable export control or sanctions laws.
14) Governing Law & Disputes
This EULA is governed by the laws of the Republic of Kenya, excluding its conflict-of-law rules. Courts of competent jurisdiction in Nairobi, Kenya will have exclusive jurisdiction, except that Fleet may seek injunctive relief in any court with jurisdiction.
15) Apple App Store Terms (if installed on iOS)
- You and Fleet acknowledge Apple is not responsible for maintenance or support of the App.
- To the extent any warranty cannot be disclaimed, Apple may refund the purchase price (if any); Apple has no other warranty obligations.
- Fleet, not Apple, is responsible for product claims and legal compliance (e.g., consumer protection, data protection).
- In case of third-party IP infringement claims, Fleet (not Apple) is responsible for investigation/defense/resolution.
- You represent you are not in a sanctioned country and are not on a prohibited party list.
- Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you.
16) Changes to this EULA
We may update this EULA from time to time. We will post the updated version with a new “Effective date”. Continued use after the update constitutes acceptance.
