1) Accounts & Organization Admins
You must provide accurate information and keep it updated. If you use the Service for a business, the business is the “Customer” and you represent you are authorized to bind it. Customer administrators control seat assignments, roles, and data within their organization.
2) Fees, Billing & Taxes
Fees are as stated at purchase or in an order form. Unless specified otherwise, subscriptions renew automatically for the same term. You authorize us to charge the payment method on file for recurring fees and applicable taxes. Overdue amounts may be suspended after prior notice.
3) Acceptable Use
- No unlawful, harmful, or abusive activity; no interference with the Service’s operation or security.
- No posting or transmitting malicious code.
- No infringement of intellectual property or privacy rights.
- Use location/telematics features only with a lawful basis and appropriate notices and consents.
4) Data; Privacy; DPA
Your use is subject to our Privacy Policy. To the extent we process personal data as a processor on your behalf, a Data Processing Addendum (DPA) is available upon request and, once executed, becomes part of these Terms.
5) Customer Content & License
You retain ownership of your content. You grant Fleet a worldwide, limited license to host, process, transmit, and display your content solely to provide the Service and improve its security and performance.
6) Service Changes, Availability & Support
We may modify features, release updates, or discontinue parts of the Service with reasonable notice where practicable. We aim for high availability but do not guarantee uninterrupted service.
7) Third-Party Services
Integrations with third-party services (e.g., mapping, messaging, storage) are provided for convenience. Your use of those services is subject to their terms and privacy policies.
8) Intellectual Property
Fleet and its licensors own all IP in the Service. These Terms grant no rights except as expressly stated.
9) Confidentiality
Non-public information disclosed by one party to the other that is marked or reasonably understood as confidential shall be protected and used only to perform under these Terms.
10) Warranties; Disclaimers
Except as expressly stated, the Service is provided “as is” and “as available,” without warranties of any kind. You are responsible for safe and lawful operations (including vehicle operations) when using the Service.
11) Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect or consequential damages, or lost profits, revenues, or data. Fleet’s total liability for claims arising out of or relating to the Service will not exceed the amounts paid by Customer for the Service in the twelve (12) months before the claim.
12) Indemnification
You will indemnify Fleet against third-party claims arising from your unlawful use, violation of these Terms, or infringement caused by your content or customizations.
13) Suspension & Termination
You may stop using the Service at any time. We may suspend or terminate access for material breaches (e.g., non-payment, security risks, legal violations) after notice and opportunity to cure where required. Upon termination, your access ends, and we may delete data per our retention policy.
14) Compliance, Export & Sanctions
You will comply with applicable laws, including road safety, privacy, export control, and sanctions. You will not use the Service in prohibited jurisdictions.
15) Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Kenya (excluding conflict-of-law rules). The courts in Nairobi, Kenya have exclusive jurisdiction, except either party may seek injunctive relief in any court with jurisdiction.
16) Changes to Terms
We may update these Terms from time to time. Changes become effective when posted. Continued use after changes constitutes acceptance.
